1. Provider and scope
These General Terms and Conditions (GTC) apply to contracts with AweneX GmbH, Hauptstrasse 48 A, 4142 Münchenstein, Switzerland, UID CHE-305.115.706, Email info@awenex.ch, telephone +41 61 554 27 88. You can find further company information in the Legal notice.
They cover the sale of goods through our online shop and based on individual quotations, as well as agreed training and services. Goods ordered through this website are delivered exclusively to addresses in Switzerland and Liechtenstein.
A retail customer is anyone acting primarily for private purposes; a business customer is anyone acting in the course of their professional or commercial activity. Registration as a business customer is subject to our approval. Mandatory statutory rights remain unaffected in all cases.
The version made available when the contract is concluded applies. Individually agreed contractual terms take precedence. Deviating terms form part of the contract only if expressly agreed. Subsequent changes to these General Terms and Conditions do not apply retroactively to contracts already concluded.
2. Offers and conclusion of contract
Product displays on the website are generally an invitation to place an order or submit an enquiry. Individually binding offers are subject to the stated acceptance period and the agreed terms.
Before placing a paid online order, you can review the essential order details, the total price and the payment terms, and correct any entries. By clicking the order button clearly marked as an obligation to pay, you place a binding order. We will confirm receipt electronically. An acknowledgement of receipt alone does not constitute acceptance unless it expressly also declares acceptance of the contract.
The contract is formed by our express order confirmation or by dispatch of the goods or the agreed commencement of the service. A payment reservation or automated charge alone does not constitute acceptance of the contract. If we do not accept an order that has already been paid for, we will refund the payment without delay. Any different arrangements for concluding the contract expressly agreed during the ordering process remain reserved.
Individual orders for devices and services are concluded by matching declarations of offer and acceptance. Agreements and legally relevant notifications may generally also be made by email, unless the law or a specific form expressly agreed by the parties provides otherwise. An agreed contractual term cannot be changed unilaterally on the grounds of a pricing or data-entry error; statutory rights relating to mistake remain reserved.
3. Prices and payment terms
All prices are stated in Swiss francs (CHF). For retail customers, the displayed product prices include the applicable value added tax and mandatory price components. Offers expressly addressed to business customers may show net prices plus clearly stated value added tax. Shipping and other agreed additional costs are disclosed before the binding order or in the individual quotation.
The payment deadline is based on the accepted quotation or on the payment terms expressly displayed and agreed before the order is placed. An invoice issued at a later date does not unilaterally change a payment period already agreed. Advance payments, instalments, installation, instruction or special transport services apply only to the extent expressly agreed.
The payment methods offered in the specific order process are available. Payment by invoice and special terms for business customers require the relevant approval or agreement. There is no general entitlement to a particular payment method or financing. Any separate financing or leasing is subject to the terms agreed with the relevant contractual partner.
In the event of late payment, the statutory provisions apply. No flat-rate reminder or debt-collection fees will be charged solely on the basis of these GTC. Statutory default interest and proven damages resulting from default for which compensation is legally due remain reserved.
4. Delivery, availability and transport
We deliver exclusively to the agreed delivery address in Switzerland and Liechtenstein. The delivery and service details agreed at the time the contract is concluded are authoritative. Delivery times described as expected are estimates; expressly agreed fixed dates remain binding.
If a delay or unavailability becomes apparent, we will inform you promptly about the situation and the next steps. Statutory claims arising from delay or non-performance remain unaffected. If goods that have already been paid for cannot ultimately be delivered, we will refund the amount concerned without delay. We will only deliver a different product with your consent. Additional costs for a partial delivery arranged by us will only be charged by prior agreement.
For private customers, we bear the risk of accidental loss and accidental damage until the goods are handed over to the customer or a recipient authorised by them. Mandatory special rules, particularly where the customer has independently commissioned a carrier, remain reserved. For business customers, the individually agreed delivery terms apply; otherwise, the statutory rules apply.
Please notify us of any visible transport damage as soon as possible and document it where possible. Failure to report damage to the carrier, or accepting a consignment, does not in itself remove any mandatory customer rights. Any agreed access, installation or cooperation requirements for larger devices and treatment beds will be specified in the quotation.
5. Professional devices, training and service
Professional devices are offered only for the intended use described in the respective offer and the manufacturer’s documentation. The customer must have the qualifications required for the specific application and meet the legal requirements applicable at the place of use. Where required, the sale or commissioning is conditional on the provision of corresponding evidence.
The scope of delivery, installation, operating instructions, training, maintenance and technical support is determined by the accepted quotation and the services expressly agreed. Operating instructions do not replace any training or authorisation required by law. Statutory obligations of AweneX as a supplier or importer are not transferred to the customer.
Instructions for use, hygiene, maintenance and safety must be followed. Modifications and repairs must be carried out professionally and in accordance with the manufacturer’s requirements. Improper use does not automatically result in the loss of all rights; what matters is the cause and its connection with the defect claimed, as well as the applicable statutory provisions.
6. Defects and warranties
Please inspect the goods upon receipt to a reasonable extent and report any defects found as soon as possible info@awenex.ch, preferably including the order number and a description. In Swiss business purchases, the statutory duties to inspect and give notice of defects apply in particular. This request does not restrict the mandatory rights of retail customers.
The applicable statutory warranty rights apply to defects. For new goods, the statutory limitation period under Swiss sales law is generally two years from delivery. These General Terms and Conditions do not shorten it. Mandatory longer periods and any further rights, particularly under applicable consumer protection law, remain reserved. For used goods, the condition and any permissible special agreements will be expressly communicated before the contract is concluded.
We will discuss justified complaints with you and offer a remedy within the scope of your statutory rights and the agreements made. Rights to repair, replacement, a price reduction or rescission of the contract to which you are legally entitled are not excluded by a blanket referral to the manufacturer. Please coordinate the practical return or collection with us; exercising your statutory rights does not depend on our prior approval.
An additional manufacturer’s or retailer’s guarantee applies only if expressly given. Its scope is set out in the relevant guarantee statement. It does not replace or limit statutory rights in respect of defects. Normal wear and tear, or damage caused solely by improper handling, does not in itself constitute an original defect.
7. Returns and cancellations
As a general rule, ordinary online purchases governed by Swiss law are not subject to a general statutory right of withdrawal solely because a customer has changed their mind. Any voluntary return, exchange or cancellation is subject to express agreement. Statutory rights of rescission, rights in respect of defects and rights arising from non-performance remain unaffected.
For private customers whose habitual residence is in Liechtenstein, the mandatory applicable consumer protection provisions also apply. Where Liechtenstein’s Distance and Off-Premises Contracts Act applies, the withdrawal information in section 12 applies in particular. A mandatory right of withdrawal does not depend on our consent.
Please do not return goods without adequate protective packaging. The original packaging is helpful, but is not a general requirement for exercising statutory rights. For valid claims relating to defects, return transport and costs are governed by statutory rules.
8. Academy and services
The content, date, location, requirements, price and services included in a training course or service are set out in the relevant offer and booking confirmation. Proof of attendance or training is issued only to the extent expressly described; state recognition or authorisation is only stated if it actually exists and is expressly specified.
Special cancellation, rescheduling or non-attendance fees apply only if they have been clearly communicated before booking and validly agreed. These terms and conditions do not introduce any additional flat-rate fees. In the absence of a special agreement, the statutory rules apply, including any mandatory rights of termination or withdrawal.
If we have to cancel an event, we will offer an alternative date where possible. You are not required to agree to a rescheduling; fees already paid for services not provided will be refunded. Any further statutory claims remain unaffected. For services provided before the expiry of an applicable statutory withdrawal period, the express declarations required for this purpose will be obtained separately.
9. Phoenix coins and discount codes
Phönixcoins are a customer-account-based bonus programme for qualifying purchases in the online shop. One coin is credited for each full Swiss franc of the paid value of goods after discounts and excluding VAT. Shipping costs and separate fees are not included in the value of goods. The coin amount shown in the basket is a preview; the actual credit is subject to a corresponding paid order.
1’000 available coins can be redeemed for a personal discount code of 5%, and 5’000 coins for a personal discount code of 10% for a subsequent shop purchase. The respective coins are deducted when exchanged. The code is intended for one-time use by the associated customer account. These T&Cs do not introduce any additional monetary cap on the percentage discount.
Before redemption, the required number of coins and the specific redemption conditions will be displayed. Any additional restrictions or time limits apply only if they have been communicated transparently in advance and effectively agreed. Coins cannot be paid out in cash. They do not automatically apply to individual equipment quotations, leasing, training or transactions concluded outside the shop.
In the event of cancellations or refunds, the credit will be adjusted to reflect the qualifying goods value that actually remains. Discounts are taken into account for refunds only up to the amount actually paid. Mandatory refund rights remain unaffected. We correct erroneous bookings in a transparent manner; if anything is unclear, you can contact us. Rights already acquired will not be withdrawn by a retroactive change to the terms.
10. customer account and communications
Please keep your order and contact details up to date and protect your login details. If you suspect that your account has been accessed without authorisation, please contact us promptly. The processing of personal data is governed by the Privacy policy.
Contract-related messages are sent via the agreed contact channels. Marketing by newsletter or WhatsApp requires separate consent where applicable; agreeing to these General Terms and Conditions or to order-related messages does not replace that consent. You may withdraw any marketing consent given at any time with effect for the future. Unsubscribing from marketing does not prevent necessary contractual communications.
11. Swiss law and place of jurisdiction
Swiss substantive law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), insofar as such a choice of law is permitted. Mandatory provisions and mandatory consumer protection, particularly at the consumer’s habitual residence, remain unaffected. The choice of law does not deprive retail customers of any protection afforded to them under mandatory applicable law.
For disputes with business customers, the courts having jurisdiction at our registered office in Münchenstein are agreed to have jurisdiction, insofar as permitted by law. For private customers, the statutory venues apply; mandatory rights relating to jurisdiction are not excluded.
The invalidity of any individual provision shall not affect the remaining provisions. Any invalid provision shall be replaced by the applicable statutory rules.
12. Withdrawal information for retail customers in Liechtenstein
The following information applies to contracts to which Liechtenstein’s Distance and Off-Premises Contracts Act applies. Any further mandatory rights remain reserved.
Deadline and declaration
You may withdraw from the contract within 14 days without giving any reason. For goods, the period starts on the day on which you or a person named by you, who is not the carrier, receives the goods. For several goods ordered together but delivered separately, receipt of the last item is decisive; for goods delivered in several parts, receipt of the last part is decisive. For an agreed regular delivery of goods, the period starts with the first delivery; for services, it starts when the contract is concluded.
Clearly notify AweneX GmbH of your withdrawal at Hauptstrasse 48 A, 4142 Münchenstein, Switzerland, email info@awenex.ch, telephone +41 61 554 27 88. An email is all that is required. You may use the form below, but you do not have to. Sending the notice of withdrawal in good time preserves the deadline.
Refunds and returns
We will reimburse payments received, including the cost of our least expensive standard delivery option, without undue delay and no later than 14 days after receiving notice of withdrawal. We will not reimburse any additional costs resulting from a more expensive delivery method chosen by you. We will use the same means of payment unless something else is expressly agreed with you at no additional cost.
For goods, we may withhold the refund until we have received them or until you have provided proof that you have sent them back, whichever occurs first; this does not apply if we have offered to collect the goods ourselves. Return the goods to the address above without undue delay and, at the latest, within 14 days of your withdrawal notice. It is sufficient to send them back within this period.
You only bear the immediate return costs if we have duly informed you of them before conclusion of the contract. For goods that cannot normally be returned by post, this information must also specify the amount of the return costs. If the required information is not provided, we will bear these costs. You are only liable for any loss in value under the statutory conditions, in particular if it results from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods and you have been duly informed of this.
Services and statutory exceptions
Pro rata remuneration for services provided before withdrawal is considered only where the statutory requirements are met, in particular following an express request for performance to begin early and the corresponding notice. Statutory exceptions to the right of withdrawal, for example for genuine customer-specific items or certain unsealed hygiene products, are applied only when their requirements are actually met and this has been disclosed before the contract is concluded. A standard colour choice alone or the opening of any packaging is not treated as a blanket exclusion.
Model withdrawal form – retail customers only
This form is intended exclusively for retail customers whose habitual residence is in Liechtenstein, insofar as the statutory right of withdrawal described in this section applies to their contract. It does not apply to business customers (B2B).
For B2B purchases, we do not grant a voluntary right of return or withdrawal solely because of a change of mind. Statutory rights in the event of defects or non-performance remain unaffected; this form does not restrict such rights.
